Please read these Terms of Service ("Terms") carefully before purchasing or using any products from CloneMRR.com ("we," "us," "our," or "CloneMRR").

By purchasing, downloading, or using our products, you agree to be bound by these Terms. If you do not agree, do not purchase or use our products.

1. Products and Services

CloneMRR sells digital software products including:

• Source code templates and boilerplates
• Documentation and setup guides
• Access to private GitHub repositories
• Email support for product setup

All products are delivered electronically. No physical goods are shipped.

2. License Grant

Upon purchase, we grant you a non-exclusive, non-transferable, perpetual license to use the purchased code and templates, subject to these Terms.

Clarification on "competing products": You can build and sell SaaS applications using our code. You cannot sell the code itself as a template, starter kit, or boilerplate to other developers.

3. Intellectual Property

CloneMRR retains all intellectual property rights to the original code, templates, and documentation. Your license does not transfer ownership, only usage rights as specified.

Open-source libraries and frameworks included in our products remain under their respective licenses.

4. Account and Access

• You are responsible for maintaining the confidentiality of your account credentials
• You must provide accurate billing and contact information
• One purchase = one user license (cannot be shared across teams without Team license)
• We reserve the right to terminate access for violation of these Terms

5. Payment and Pricing

• All prices are in USD unless otherwise stated
• Prices are subject to change, but changes do not affect completed purchases
• Payment is processed securely through Stripe
• You are responsible for any applicable taxes in your jurisdiction

6. Delivery

• Digital products are delivered immediately upon payment confirmation
• Repository access is granted via email within 24 hours (usually instant)
• Check spam folders if you don't receive access instructions

7. Updates and Maintenance

• Lifetime access includes future updates to the purchased template
• Updates are provided as-is, without guarantee of specific features
• You are not required to update your code if you don't want to
• We may discontinue support for very old versions

Support is provided via email at [email protected] with typical response time of 1-3 business days.

Summary: 14-day money-back guarantee if the product doesn't work as described and you've attempted to resolve issues with support. No refunds after successful download and access, or after 14 days.

10. Warranty Disclaimer

OUR PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

We make no warranties, expressed or implied, including:

• Merchantability or fitness for a particular purpose
• That the code will be error-free or uninterrupted
• That the code will meet your specific requirements
• That third-party APIs (Stripe, ElevenLabs, etc.) will continue to work as documented

You use our products at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

CloneMRR and its owners, employees, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use our products
• Issues caused by third-party services or APIs
• Security breaches of applications you build with our code

Our total liability shall not exceed the amount you paid for the product.

12. Third-Party Services

Our products integrate with third-party services (Stripe, ElevenLabs, hosting providers, etc.).

• You are responsible for creating accounts and complying with their terms
• We are not responsible for changes, outages, or pricing changes by third parties
• API costs (ElevenLabs, OpenAI, etc.) are your responsibility
• You must ensure your use complies with all third-party terms of service

13. Technical Requirements

You are responsible for:

• Having the technical knowledge to use our products
• Meeting minimum technical requirements (listed on product pages)
• Obtaining necessary accounts and API keys
• Providing your own hosting and infrastructure

We do not guarantee compatibility with all hosting environments or future technology changes.

14. Prohibited Uses

You may not use our products to:

• Create illegal, harmful, or malicious software
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Collect personal data without consent
• Create spam, malware, or phishing applications
• Violate terms of service of integrated third-party platforms

15. Termination

We may terminate your license and access if you:

• Violate these Terms
• Share repository access with unauthorized users
• Create competing template products
• Engage in fraudulent activity or chargebacks
• Use products for illegal purposes

Upon termination, you must cease all use of our code and delete all copies.

16. Privacy

Your personal information is handled according to our Privacy Policy. By using our products, you consent to our data practices as described.

17. DMCA and Copyright Infringement

We may update these Terms at any time. The "Last Updated" date will reflect changes.

• Continued use after changes constitutes acceptance
• Material changes will be communicated via email when possible
• Changes do not affect licenses already granted

21. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

22. Entire Agreement

These Terms, along with our Refund Policy and Privacy Policy, constitute the entire agreement between you and CloneMRR.

23. No Partnership

Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and CloneMRR.
